Berzin has opted not to stand for re-election to the Board of Directors at the 2012 annual meeting of shareholders. Ms. Berzinas term will expire effective upon conclusion of the Companyas 2012 annual meeting of shareholders. Ms. Berzin serves as the Chair of the Companyas Nominating and Governance Committee and as a member of the Audit Committee. Ms. Berzin has served on the Kindred Board since November 2006.
