On June 11, 2012, IntegraMed announced the definitive merger agreement under which the company would be acquired by Sagard Capital Partners, in a transaction valued at approximately $169.5 million. Under the terms of the agreement, IntegraMed stockholders will receive $14.05 in cash for each share of IntegraMed/INMD common stock held. The offer represents a 24 percent premium to IntegraMed stock's Friday close. According to Thompson/First Call, analysts have set price targets as high as $17.00 per share for IntegraMedas stock. The firmas investigation seeks to determine whether IntegraMed and its Board undertook a fair process in negotiating the deal.
