BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Psychiatric Solutions, Inc. (aPsychiatric Solutionsa or the aCompanya) (NASDAQ:PSYS) related to the Companya™s agreement to be acquired by Universal Health Services, Inc. (aUHSa). The proposed transaction is valued at approximately $3.1 billion, including assumed debt.

Under the terms of the definitive agreement entered into by the parties, UHS will pay $33.75 in cash for each share of Psychiatric Solutions, or approximately $2 billion. The transaction is expected to be completed in the fourth quarter of 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the transaction by Psychiatric Solutionsa™ board of directors.
