(NASDAQ: TOMO) for shareholders in connection with the proposed acquisition by Accuray Inc. On March 7, 2011, the companies announced the definitive merger agreement under which TomoTherapy would be acquired by Accuray, in a transaction valued at approximately $277 million. Under the terms of the agreement, TomoTherapy stockholders will receive $3.15 per share in cash and 0.1648 shares of Accuray (NASDAQ: ARAY) common stock for each share of TomoTherapy/TOMO common stock held. The consideration offered is valued at $4.80 per share, a premium of about 31 percent using Fridaya™s closing prices. According to Thompson/First Call, analysts have set a price target as high as $5.00 per share for TomoTherapy stock.
