Under the proposed agreement, Gilead will commence a tender offer to acquire all of the outstanding shares of Pharmassetas common stock at a price of $137.00 per share in cash.
The investigation concerns whether Pharmassetas board of directors adequately shopped the Company to obtain the best price possible for Pharmassetas shareholders before entering into the agreement with Gilead.
