BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of BMP Sunstone Corporation (aBMP Sunstonea or the aCompanya) (Nasdaq:BJGP) related to the Companya™s agreement to be acquired by Sanofi-aventis. The proposed transaction is valued at approximately $520 million.

Under the terms of the definitive agreement entered into by the parties, Sanofi-aventis will acquire all of the outstanding shares of BMP Sunstone for $10.00 per share in cash. The acquisition is to be structured as a merger of BMP Sunstone and a wholly-owned subsidiary of sanofi-aventis. Stockholders controlling 23% of BMP Sunstone's shares on a fully diluted basis have committed to vote in favor of the transaction. BMP Sunstone's board of directors has unanimously approved the transaction. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by BMP Sunstonea™s board of directors.
