On October 28, 2010, the companies announced the definitive merger agreement under which BMP Sunstone would be acquired by Sanofi-aventis in a transaction valued at approximately $520 million. Under the terms of the agreement, BMP Sunstone stockholders will receive $10.00 in cash for each share of BMP Sunstone/BJGP common stock held. The firm believes the transaction may be undervaluing the company.
