 - there will be no new class of preferred shares of Futuremed Healthcare Products Corporation; - the proposed option plan will require shareholder approval to (i) reduce the exercise price or extend the expiry date of options for all participants or to or cancel and reissue options; (ii) amend the limitation on the number of options granted to independent board members; (iii) or amend the option transferability provisions; and - the proposed rights plan will be amended such that: (i) "Beneficial Owner" calculations shall not include derivatives: (ii) "Acquiring Person" will be permitted a 1% cushion to avoid accidental triggering of the plan; and (iii) "Permitted Lock-Up" would allow tendering to a competing bid for a higher price even if such bid is for less shares.
