NEW YORK--([ BUSINESS WIRE ])--Levi & Korsinsky is investigating the Board of Directors of Kinetic Concepts, Inc. (aKCIa or the aCompanya) (NYSE: KCI) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to a group of investors led by Apax Partners. Under the terms of the transaction, KCI stockholders will receive $68.50 for each share of KCI stock they own. The transaction has a total approximate value of $6.3 billion, including the assumption of debt.

The investigation concerns whether KCI's Board breached its fiduciary duties to stockholders by failing to adequately shop the Company before entering into this deal and whether Apax Partners is underpaying for KCI shares, thus unlawfully harming KCI stockholders. At least one analyst has set a price target of $75 per share. James Leininger, the founder of KCI and chairman emeritus, has agreed to vote his 11% interest in favor of the transaction, and the offer is merely a 6% premium over KCI's closing price the day before.
