Advanced Medical Optics, Inc. Announces Expiration and Results of Tender Offer and Consent Solicitation for Its 7% Senior Subor
SANTA ANA, Calif.--([ BUSINESS WIRE ])--Advanced Medical Optics, Inc. (AMO) (NYSE:EYE) announced today the expiration of the tender offer and consent solicitation (the "Offer") for its outstanding 7½% Senior Subordinated Notes due 2017 (the "Notes") (CUSIP No. 00763MAN8, ISIN No. US00763MAN83). The Offer expired at midnight EST on Tuesday, Feb. 24, 2009 (the "Expiration Time"). As of the Expiration Time, $248,250,000aggregate principal amount of Notes, representing approximately 99.3% of the aggregate principal amount of Notes outstanding, had been validly tendered pursuant to the Offer and not withdrawn. AMO accepted for payment, and will pay for, $248,250,000aggregate principal amount of Notes today (the "Payment Date").
Holders who validly tendered their Notes and delivered their related consents prior to the Expiration Time received the Total Consideration of $1,155.00 for each $1,000 principal amount of Notes validly tendered and accepted for payment. In addition, all holders whose Notes were accepted for payment received accrued and unpaid interest up to, but not including, the Payment Date.
In addition, pursuant to the Offer, AMO received consents from holders sufficient to approve the proposed amendments to the indenture governing the Notes. As a result, AMO and the trustee will enter into a supplemental indenture containing the proposed amendments to such indenture.
