




Azabache Announces Intention to Complete Shares for Debt Transaction

Azabache Energy Inc. ("Azabache" or the "Company") (TSX VENTURE:AZA) announces that, subject to TSX Venture Exchange ("TSXV") approval, its intends to issue 1.6 million Common Shares to an arm's length party as partial satisfaction of a debt incurred for a seismic program completed at the Company's La Mona Block in Colombia. The Common Shares will be subject to a four-month hold period and will be issued at a deemed price of $0.48.
