(aAmerica Service Groupa or the aCompanya) (NASDAQ:ASGR) related to the Companya™s agreement to be acquired by Valits Health Services, Inc. The proposed transaction is valued at approximately $250 million.
Under the terms of the agreement and plan of merger entered into by the parties, America Service Group shareholders will receive $26.00 in cash for each share they own of the Companya™s stock. The board of directors of America Service Group has unanimously approved the merger agreement. The transaction is expected to be completed in the second quarter of 2011. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by America Service Groupa™s board of directors.
