On October 22, 2010, the companies announced the definitive merger agreement under which Clarient would be acquired by GE Healthcare in a transaction valued at approximately $580 million. Under the terms of the agreement, Clarient stockholders will receive $5.00 in cash for each share of Clarient/CLRT common stock held. According to Thompson/First Call, at least one analyst has set a price target of $6.00 per share for Clarient stock. The firm believes the transaction may be undervaluing the company.
