BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Kendle International, Inc. (aKendlea or the aCompanya) (NASDAQ: KNDL) related to the Companya™s agreement to be acquired by INC Research, LLC (aINC Researcha). The proposed all-cash transaction is valued at approximately $232 million.

Under the terms of the definitive merger agreement entered into by the parties, Kendle shareholders will receive $15.25 in cash for each share they own of the Companya™s stock. The transaction is expected to be completed in the third quarter of 2011. The proposed transaction was unanimously approved by the Companya™s board of directors. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Kendlea™s board of directors.
