Under the proposed agreement, AMAC shareholders will receive $8.55 per share in cash for every share of AMAC common stock they hold plus one Contingent Payment Right (CPR) per share providing a contingent cash payment for the holder of such common share in the event of a sale of AMACa™s interests in the Lifecomm joint venture or prior sale of Tunstall under certain conditions.
The investigation concerns whether AMACa™s board of directors adequately shopped the Company to obtain the best price possible for AMACa™s shareholders before entering into the agreement with Tunstall.
