The investigation concerns whether the Genoptix Board of Directors breached their fiduciary duties to Genoptix stockholders by failing to adequately shop the Company before entering into this transaction and whether Novartis is underpaying for Genoptix shares, thus unlawfully harming Genoptix stockholders.
